This End User Agreement governs the use of the FLOW2MTP software by business entities as defined in Section 14 of the German Civil Code (BGB). It supplements the General Terms and Conditions of Semodia GmbH (as of May 4, 2026), the respective order confirmation, and the Service Level Agreement (SLA) for FLOW2MTP. In the event of any conflicts, the individual order confirmation shall take precedence, followed by this End User Agreement, then the SLA, and finally the General Terms and Conditions, unless otherwise specified therein.

1. Subject Matter of the Agreement

Semodia provides the Customer with the FLOW2MTP software as part of a time-limited subscription. FLOW2MTP supports the engineering workflow of process plants and their Process Equipment Assemblies (PEAs), in particular from the creation of Process Flow Diagrams (PFDs) and Automation P&IDs through to the generation and management of Requirement MTPs (rMTPs).

The specific scope of functions, licenses, and usage is set forth in the respective order confirmation, including any service descriptions, license parameters, or package definitions.

2. Type of Provision

FLOW2MTP is generally provided as software installed and operated locally at the customer’s site. Semodia is therefore not responsible for the operation of the customer’s IT environment, in particular the availability of the customer’s servers, clients, networks, firewalls, proxies, operating systems, or other infrastructure.

A connection to online services operated by Semodia may be required for initial activation, reactivation, license status queries, and, if applicable, for other related online services or interfaces .

The customer acknowledges that functions requiring an active Internet connection may be limited or temporarily unavailable in the event of a missing, disrupted, or technically blocked Internet connection on the customer’s part. This applies in particular to activation, reactivation, license validation, and associated online functions.

3. Right of Use

Semodia grants the customer, for the term of the agreed subscription, a simple, non-exclusive, non-transferable, and non-sublicensable right to use FLOW2MTP to the extent contractually agreed for the customer’s own business operations.

Use is limited to the users, workstations, projects, instances, organizational units, or other license metrics specified in the order confirmation.

Transfer to third parties, rental, leasing, sublicensing, provision as a service to third parties, or use for the benefit of third parties outside the group is permitted only with the express written consent of Semodia.

4. Permitted and Prohibited Use

The Customer may use FLOW2MTP exclusively for its intended purpose and within the scope of the approved documentation.

The following are specifically prohibited without Semodia’s express written consent: reverse engineering, decompiling, or disassembling the software, unless expressly permitted by law; removing, modifying, or circumventing license, activation, protection, or security mechanisms; using the software outside the agreed scope of the license; the disclosure of access data, license keys, or installation packages to unauthorized third parties.

Any modifications to the software, alterations to the program code, or unauthorized technical modifications are made exclusively at the customer’s own risk and may exclude warranty, support, and liability claims to the extent permitted by law.

5. Third-Party Software and Interfaces

Certain functions of FLOW2MTP may require third-party software or technologies, in particular Microsoft Visio and template technologies from PAVIS. The procurement, licensing, provision, and contractual use of such third-party software are the responsibility of the customer, unless expressly agreed otherwise.

Semodia assumes no responsibility for the availability, error-free operation, license terms, or product changes of third-party software or third-party providers outside Semodia’s sphere of influence.

To the extent that FLOW2MTP is connected to the Semodia platform or the customer’s systems via APIs or other interfaces, the customer is responsible for customer-side configuration, authorization, network permissions, and system security, unless these services are expressly provided by Semodia.

6. Customer’s Obligations to Cooperate

The customer shall establish and maintain the technical prerequisites for the installation, operation, and use of FLOW2MTP.

The customer shall provide suitable contact persons for implementation, administration, and support and shall cooperate to a reasonable extent in error analysis and troubleshooting.

The customer is solely responsible for the technical review of content generated or edited with FLOW2MTP, in particular PFDs, automation P&IDs, tag lists, equipment modules, strategies, phase models, and rMTP files.

The Customer shall ensure that the data, content, templates, and models provided by the Customer do not infringe upon the rights of third parties and do not violate applicable law.

7. Updates, Maintenance, and Support

Semodia is entitled to further develop, technically adapt, and update FLOW2MTP as well as associated activation, licensing, and online services, provided that the core purpose owed under the contract is not materially impaired.

Support, response times, maintenance policies, and the distinction between local installation and online services operated by Semodia are governed by the applicable SLA for FLOW2MTP.

Standard support does not include, in particular, individual consulting, modeling, migration, customization, or integration services, unless these have been separately agreed upon.

The customer is obligated to report suspected errors, malfunctions, or other bugs immediately upon becoming aware of them via the support channels provided by Semodia, providing all reasonable information, including, in particular, a clear description of the error, details regarding the version used, the system environment, the affected functions, any error messages, and—to the extent possible and reasonable—screenshots, log files, or reproducible steps.

Semodia classifies reported errors at its reasonable discretion, taking into account the impact on contractual use. There is no entitlement to immediate error correction; Semodia may, at its discretion, remedy the issue through a bug fix, update, hotfix, workaround, or recommended action. Prioritization, response times, and handling principles are governed by the applicable SLA.

To the extent that Semodia provides updates, bug fixes, security patches, or modifications to activation, licensing, or online services, the Customer must review and install them within a reasonable period of time, to the extent necessary for security, licensing compliance, interoperability, error correction, or continued use in accordance with the contract. Semodia assumes no responsibility, to the extent permitted by law, for malfunctions, security risks, incompatibilities, or limitations resulting from the failure to install or the delayed installation of updates or patches that have been provided and are reasonable for the customer to implement .

8. Rights to Software and Work Products

All rights to FLOW2MTP, including source code, object code, user interfaces, documentation, concepts, structures, trademarks, and other intellectual property rights, remain with Semodia or its licensors.

The customer does not acquire any rights to the software beyond the expressly granted rights of use.

The customer retains the rights to the customer’s own content and data generated in FLOW2MTP, provided that such content and data do not relate to the software or intellectual property rights of Semodia itself.

9. Warranty and Liability

Warranty and liability are otherwise governed by the General Terms and Conditions of Semodia GmbH, as well as by the respective order confirmation and the SLA.

In particular, Semodia does not warrant that results generated with FLOW2MTP are suitable for a specific technical or operational purpose without additional technical, regulatory, or project-specific review by the customer.

Semodia shall not be liable for disruptions resulting from the customer’s IT environment, lack of an internet connection, misconfigurations, unsupported system environments, or third-party software outside Semodia’s control, unless liability is mandatory by law.

10. Term and Termination

The right of use automatically ends upon the expiration or termination of the agreed-upon subscription, unless a renewal agreement is concluded.

After the contract ends, the customer may no longer use FLOW2MTP. Semodia is entitled to deactivate license keys, activations, or access to to the extent necessary to enforce the termination of the contract.

Statutory rights as well as contractually agreed obligations regarding retention, surrender, or post-termination obligations remain unaffected.

11. Final Provisions

Amendments and supplements to this End User Agreement must be made in writing or via electronic communication, to the extent provided for in the underlying contractual documents.

Should individual provisions of this End User Agreement be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.

Unless otherwise agreed and to the extent permitted by law, the place of performance is the registered office of Semodia GmbH in Radebeul.
